1. These Terms and Conditions of Sale apply to all orders placed by the Customer with M Software Ltd (M Software) by any means, including, but not limited to, electronic ordering via the website.
2. In this agreement, the term Software refers to any software product sold by M Software.
3. This agreement and any sales hereunder shall be governed by the laws of New Zealand.
4. M Software is committed to following fair business practices. As such, the operation of this website follows the Model Code for Consumer Protection in Electronic Commerce published by the New Zealand Ministry of Commerce.

1. All products are priced in NZ$.
2. All sales are finalised in NZ$ regardless of any other currency being displayed.
3. All prices are quoted excluding GST for New Zealand customers. Taxes are added if necessary within the checkout process.

Electronic Ordering and Security

1. Electronic payment on this website is handled by the third party payment provider PayPal.
2. Customers are redirected to PayPal secure servers during the checkout process, where their credit card details are collected and payments approved. M Software never records or sees Customer credit card details. This provides the greatest level of security possible to the Customer.

Refunds and Returns

1. Refunds will only be given at the discretion of the Company Management.
2. All sales involving the delivery of a licence key by email are final and no returns can be accepted. Customers are encouraged to take advantage of the trial period before deciding to purchase.
3. For all other sales, returns will be accepted within 30 days of the purchase date at the discretion of the Company Management.

Warranties and Liability

1. M Software has made every effort to make sure that the Software is fit for the purpose advertised.
2. To the fullest extent permitted by law, the Software sold by M Software is provided as is and with no warranties of any kind, whether express or implied, including, without limitation, any warranty of merchantability or fitness for a particular purpose.
3. In no event shall M Software, or anyone else who has been involved in the creation, production, or delivery of the Software be held liable whether in contract or tort (including negligence) or otherwise for any loss of profit, health, or any commercial damage, including, but not limited to, special, incidental, consequential, or other damages resulting from the use, or misuse of the Software.
4. To the extent permitted by law, the total liability of M Software in all circumstances is limited to the price paid by the Customer for the relevant product.

Purchase orders

1. We do not currently accept payment by purchase order.

WinRK upgrades and licence lifetime

1. Licences for WinRK are valid only for the version originally purchased, and any subsequent minor version releases (eg. v3.1, v3.2 …)
2. Existing WinRK licencees will also be eligible for upgrade discount pricing for future major version releases.
3. If a licence for WinRK is purchased within 90 days of a major version release (excluding beta or pre-release versions), then a free upgrade to the new version will be provided upon request.
4. We reserve the right to revoke any licence to WinRK in the case of abuse of rights by the licencee, unauthorised disclosure, or nonadherence to the licence terms.
